Public Offer

This text is a translation of the original Public Offer page in Ukrainian. Both versions have the same legal force. In case of any discrepancies in the texts, the Ukrainian version will prevail.


This Public Offer (hereinafter referred to as the “Public Offer”) is addressed to an undefined circle of individuals and legal entities (hereinafter referred to as the “Donor”)—visitors to the website of the Public Organization “UNITED FORCES OF AUTO VOLUNTEERS” on the Internet: https://osahelp.com.ua (hereinafter referred to as the “Website”), and is, according to Article 641 of the Civil Code of Ukraine, an official and public offer of the Public Organization “UNITED FORCES OF AUTO VOLUNTEERS,” with EDRPOU (ЄДРПОУ) code 44811173, (hereinafter referred to as the “Public Organization”), represented by the Chairperson of the Board, Pukhalska Nataliya, who acts on the basis of the Charter, to conclude a contract for the provision of a voluntary (charitable) donation (hereinafter referred to as the “Agreement”), under the conditions specified below: 

The Public Organization may enter into contracts for the provision of voluntary (charitable) donations in a different manner and/or under conditions other than those provided in this Offer. The Donor may separately contact the Public Organization to conclude such an agreement.

1. TERMS

1.1. Public Offer – an offer made by the Public Organization, posted on the Website https://osahelp.com.ua and addressed to any individual and/or legal entity, in accordance with Article 641 of the Civil Code of Ukraine, to conclude an agreement with it on the terms contained in the public offer.

1.2. Acceptance – the full and unconditional acceptance by the Donor of the Public Offer of the Public Organization by performing actions related to making a money transfer using the payment forms and methods placed on the Website, as well as by transferring funds to the Public Organization’s bank account through banking institutions. The moment of Acceptance is the fact of the money transfer and/or the receipt of funds in the bank account of the Public Organization.

1.3. Voluntary (charitable) donation – the gratuitous transfer by the Donor of funds to the ownership of the Public Organization to achieve certain goals and programs of the Public Organization in accordance with its Charter, this Agreement, the Law of Ukraine “On Public Associations,” and the Law of Ukraine “On Charitable Activities and Charitable Organizations.”

1.4. Donor – a capable individual or private legal entity who has accepted this Public Offer and voluntarily makes a Charitable Donation.

1.5. Website – the website of the Public Organization on the Internet at https://osahelp.com.ua, which serves as an official source of information for Donors regarding the list of activities for which Voluntary (charitable) donations may be made.

2. SUBJECT OF THE AGREEMENT

2.1. The subject of this Agreement is the gratuitous and voluntary transfer by the Donor to the ownership of the Public Organization of funds through a Voluntary (charitable) donation, aimed at ensuring the implementation of the Public Organization’s statutory activities.

2.2. The Donor independently determines the amount of the Voluntary (charitable) donation. The Public Organization independently determines the directions for the use of the Voluntary (charitable) donation within its statutory activities unless otherwise specified by the Donor in the manner determined by this Agreement. The subject of this Agreement is not to obtain profit directly or indirectly by either Party.

2.3. If desired, the Donor may specify the target purpose of the Voluntary (charitable) donation by choosing among the programs (projects), and goals announced by the Public Organization.

2.4. The Voluntary (charitable) donation is not subject to refund to the Donor, except in cases provided for in this Agreement.

2.5. Methods of making a charitable donation:

  • One-time payment;
  • Subscription, which involves monthly/annual payments of the corresponding amount chosen from among the subscription options offered. This subscription may be canceled at any time through the user’s bank services (e.g., Privat24, Apple Pay, Google Play, etc.).

3. ACCEPTANCE

3.1. Acceptance of the Public Offer means that the Donor agrees to all the terms of this Public Offer, understands, and agrees that the Voluntary (charitable) donation will be used to achieve the goals and programs provided by the Charter of the Public Organization, which they can review here.

3.2. The Donor understands and unconditionally agrees with the right of the Public Organization to use part of the Donor’s Voluntary (charitable) donation for administrative expenses of the Public Organization, in an amount not exceeding that provided by the legislation of Ukraine.

3.3. The Parties agree that from the moment the Donor accepts this Public Offer, this Agreement is considered concluded in writing in accordance with Articles 207, 639, 641, and 642 of the Civil Code of Ukraine. At the same time, the Parties agree that the failure of the parties to comply with the written form of the transaction does not mean its invalidity.

4. ACTIVITIES OF THE NON-GOVERNMENTAL ORGANIZATION

4.1 The Non-Governmental Organization conducts its activities in accordance with its Statute, particularly in the area of providing assistance to the Armed Forces, other military formations, law enforcement (special) agencies, civil protection bodies, voluntary territorial community formations, and other persons responsible for ensuring national security and defense, counteracting and deterring foreign state aggression, as well as individuals who have suffered or may suffer from such armed aggression.

4.2. The activities of the Non-Governmental Organization are not aimed at generating profit. 

4.3. Information about the activities of the Non-Governmental Organization and reports on the results of such activities are posted on the Website.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. The Non-Governmental Organization has the right to:

  • Receive voluntary (charitable) donations and use them in accordance with the subject and terms of this Agreement and its statutory activities;
  • Change the directions of using the voluntary (charitable) donation within the statutory activities of the Non-Governmental Organization without the donor’s consent;
  • Use a portion of the voluntary (charitable) donation for the administrative expenses of the Non-Governmental Organization within the limits provided by the laws of Ukraine without the donor’s consent;
  • Publish on the Website or in any mass media the commercial name of a legal entity as a donor of the Non-Governmental Organization. By accepting this Public Offer, the legal entity donor gives its consent for such publication, and no additional consent from the donor legal entity is required. In case of disagreement with such publication, the donor has the right to demand that the Non-Governmental Organization removes the information about the commercial name of the legal entity as a donor from the Website.
  • Collect, process, and store the donor’s personal data provided when visiting the Website and/or making a money transfer to properly implement this Agreement and statutory activities. By accepting this Public Offer, the donor gives the Non-Governmental Organization consent to process the donor’s personal data disclosed when making a charitable donation for the purpose of fulfilling the terms of the Agreement. Detailed information on the processing of personal data by the Non-Governmental Organization is provided in the Privacy Policy.

5.2. The Non-Governmental Organization is obligated to:

  • Use the funds from the voluntary (charitable) donation in accordance with the subject and terms of this Agreement, strictly in compliance with the laws of Ukraine, and only within its statutory activities;
  • In case the voluntary (charitable) donation is used contrary to the purposes of this Agreement, return the funds to the donor upon a written request, which must be sent by registered mail with a description of the contents to the legal address of the Non-Governmental Organization indicated on the Website or by an electronic statement signed using a qualified electronic signature (QES) sent to the official email address of the Non-Governmental Organization.

5.3. The donor has the right to:

  • Make a voluntary (charitable) donation to the Non-Governmental Organization without any restrictions on the amount or number of times;
  • Receive information on the use of their voluntary (charitable) donation. For this purpose, the Non-Governmental Organization may post annual financial reports on the Website, which include information on the donations received by the Non-Governmental Organization during the reporting period and the organization’s expenses during the reporting period. Upon a written request from the donor, the Non-Governmental Organization may also confirm the targeted use of the charitable donation with additional documents.

5.4. Donor’s obligations:

  • Familiarize themselves with the terms of this Public Offer before accepting it. If the donor disagrees with any of the terms of this Public Offer, they should not accept it and must immediately leave the webpage of the Website where the possibility of making a voluntary (charitable) donation is provided.

5.5. By making a voluntary (charitable) donation, the donor unconditionally confirms their legal capacity, the voluntariness of entering into the transaction, that the subject of the voluntary (charitable) donation is not prohibited, seized, pledged, encumbered by any third-party rights, and was not acquired in violation of the laws of Ukraine on preventing and combating the legalization (laundering) of proceeds of crime, financing of terrorism, and financing of the proliferation of weapons of mass destruction. In the event that the Non-Governmental Organization has reasonable doubts regarding these statements, the Non-Governmental Organization has the right to request, and the donor is obligated to provide, appropriate supporting evidence of these statements.

5.6. The donor agrees that after providing their information when making a voluntary (charitable) donation, registering on the Website, the Non-Governmental Organization may send letters and messages, including promotional ones, to the donor’s email address or contact phone number. At the same time, the Non-Governmental Organization is committed not to disclose the donor’s email address and other information to third parties, except as provided by the laws of Ukraine.

6. PROCEDURE FOR CONDUCTING PUBLIC FUNDRAISING

6.1. The collection of voluntary (charitable) donations is carried out in the territory of any country in the world. The direct activities of the Non-Governmental Organization related to the collection of voluntary (charitable) donations under this Agreement are carried out in the territory of Ukraine.
6.2. The fundraising continues until the termination of the Non-Governmental Organization’s activities (including liquidation), unless a different term is determined by the decision of the Non-Governmental Organization, of which the Donor will be informed by posting the relevant information on the Website.

7. FINAL PROVISIONS

7.1. By making a voluntary (charitable) donation, the Donor unconditionally confirms their legal capacity, the voluntariness of entering into the transaction, that the subject of the voluntary (charitable) donation is not prohibited, seized, pledged, encumbered by any third-party rights, and was not acquired in violation of the laws of Ukraine “On Prevention and Counteraction to Legalization (Laundering) of Proceeds of Crime, Financing of Terrorism, and Financing of the Proliferation of Weapons of Mass Destruction.” In the event that the Non-Governmental Organization has reasonable doubts regarding these statements, the Non-Governmental Organization has the right to request, and the Donor is obligated to provide, appropriate supporting evidence of these statements. 

7.2. All expenses related to the payment of amounts (commissions) associated with the transfer and receipt of charitable donations are borne by the Donor.

7.3. The Donor agrees that after providing their information during the voluntary (charitable) donation and registration on the Website, the Non-Governmental Organization may send letters and messages, including promotional ones, to the Donor’s email address or contact phone number. At the same time, the Non-Governmental Organization undertakes not to disclose the Donor’s email address and other information to third parties, except as provided by the current legislation of Ukraine.

7.4. The relationship between the Donor and the Non-Governmental Organization is governed by the provisions of the current legislation of Ukraine.

7.5. The responsibility of the Non-Governmental Organization for violating this Agreement or the procedure for using charitable donations arises on the grounds, in the amount, and in the manner determined by the requirements of the current legislation of Ukraine.

7.6. In case of disputes between the parties to this Agreement, they should be resolved through negotiations. If disputes cannot be resolved through negotiations, they will be considered by the courts in the manner established by the current legislation of Ukraine.

7.7. This Public Offer comes into force from the moment it is posted on the Website of the Non-Governmental Organization.

7.8. This Public Offer is indefinite and may be amended or revoked by the Non-Governmental Organization at any time (before it is accepted by the Donor) by posting the relevant information on the Website.
